Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") govern access to and use of the AccuWriter websites, applications, software, artificial-intelligence-assisted features, inspection-report tools, templates, cloud services, support services, and related products and services (collectively, the "Services") provided by AccuWriter Inc. ("AccuWriter," "we," "us," or "our"). By creating an account, purchasing a subscription, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not access or use the Services.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering a binding contract. You are responsible for accurate account information, safeguarding credentials, assigning appropriate user permissions, and activity under your account. Promptly notify AccuWriter of suspected unauthorized access.

3. AccuWriter's Role

AccuWriter provides software to assist property-inspection professionals with creating, managing, storing, and delivering inspection-related information and reports. Features may include report writing, templates, comment libraries, photographs, document storage, workflow tools, integrations, analytics, and AI-assisted functions.

AccuWriter is a software provider, not an inspection company, engineering firm, legal service, code authority, or professional licensing body. The inspector or inspection company remains solely responsible for the inspection, observations, scope, professional judgment, report content, applicable standards of practice, laws, regulations, contracts, and communications with its clients.

4. Subscriptions, Fees, and Payment

Paid Services are governed by the pricing, features, usage allowances, user limits, billing intervals, and other plan terms presented at purchase or in an applicable order form. Unless otherwise stated, subscriptions automatically renew until canceled. You authorize AccuWriter and its payment processor to charge applicable recurring fees, usage charges, and taxes.

Except where required by law or expressly stated otherwise, fees already paid are non-refundable. AccuWriter may change pricing or plan structures upon reasonable advance notice, generally effective at renewal.

5. Customer Content and Ownership

As between you and AccuWriter, you retain ownership of inspection reports, photographs, narratives, templates, comments, client information, property information, files, and other content submitted by you or your authorized users ("Customer Content").

You grant AccuWriter a limited, non-exclusive license to host, copy, transmit, process, display, format, secure, back up, and otherwise use Customer Content only as reasonably necessary to provide, maintain, support, secure, and administer the Services; provide requested AI-assisted functions; comply with law; and enforce these Terms.

You represent that you have the rights and permissions necessary to submit and process Customer Content and are responsible for legally required notices, consents, and authorizations.

6. Delivered Reports and Client Access

A final inspection report delivered through AccuWriter may remain accessible to the inspection client indefinitely, even if the inspector or inspection company later stops subscribing to AccuWriter, subject to deletion by an authorized inspector, applicable law, security requirements, technical or operational limitations, and the continued operation of the applicable Services.

Client access to a delivered report does not transfer ownership of the inspector's underlying business records, templates, or other Customer Content. It provides continuing access to the final report made available to that client.

7. Report Deletion and Audit Records

An authorized inspector or organization user may permanently delete a completed or delivered inspection report where the Services permit. Permanent deletion terminates AccuWriter-hosted access to that report, including access previously provided to an inspection client.

After substantive report content is deleted, AccuWriter may retain a limited audit record documenting the deletion for security, system integrity, compliance, dispute prevention, and fraud-prevention purposes. The audit record may include an inspection or report identifier, account or organization identifier, user who initiated the deletion, deletion date and time, and deletion status. AccuWriter does not retain the substantive deleted report, photographs, narratives, or other report content merely as part of this deletion audit record.

8. AI-Assisted Features

AccuWriter may use artificial intelligence and machine-learning systems to help draft, summarize, rephrase, classify, organize, analyze, or suggest inspection-related content. AI output may be inaccurate, incomplete, outdated, or unsuitable for a particular property, jurisdiction, or inspection.

AI output is an assistive tool and does not replace the inspector's independent observation, professional judgment, verification, or responsibility. You must review and approve AI-assisted content before relying on it or including it in a report.

AccuWriter does not use Customer Content such as inspection reports, photographs, client information, property information, or inspection narratives to train general-purpose AI models. AccuWriter may use third-party AI providers to process information as reasonably necessary to provide a user-requested AI feature, subject to applicable privacy and security controls.

9. Product Improvement and Usage Intelligence

AccuWriter may use analytics, automated systems, and AI-assisted tools to observe and analyze how users interact with the Services in order to improve AccuWriter. This may include feature usage, navigation and workflow patterns, sequence of actions, performance, errors, time spent on tasks, configuration choices, and similar usage telemetry.

AccuWriter may use aggregated or de-identified usage information for product development, usability improvements, feature prioritization, performance optimization, and development of future functionality. This product-improvement activity is distinct from using the substantive contents of inspection reports or client records to train general-purpose AI models.

10. Templates, Standards, Codes, and Reference Materials

Templates, sample language, standards-related prompts, code references, checklists, or similar materials are provided for convenience and may not reflect the latest law, code, standard of practice, local requirement, manufacturer instruction, or contractual obligation. You are responsible for determining what applies to your work. Nothing in the Services constitutes legal, engineering, architectural, environmental, accounting, or other professional advice.

12. Third-Party Services and Integrations

The Services may interoperate with third-party platforms, APIs, payment processors, cloud providers, communications providers, analytics services, AI providers, and other integrations. Third-party services may be governed by their own terms and privacy policies. AccuWriter is not responsible for third-party services outside its control and may add, modify, replace, or discontinue integrations when reasonably necessary.

13. Intellectual Property and License

AccuWriter and its licensors own the Services and associated software, source and object code, interfaces, workflows, documentation, branding, trademarks, proprietary templates supplied by AccuWriter, and other intellectual property, excluding Customer Content and third-party materials.

Subject to these Terms and applicable fees, AccuWriter grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during your subscription.

14. Availability and Beta Features

AccuWriter strives to provide reliable Services but does not guarantee uninterrupted or error-free availability. Maintenance, updates, third-party outages, security events, internet conditions, or other factors may affect access. Beta, preview, experimental, or early-access features may be changed or discontinued and may contain defects.

15. Cancellation, Retention, and Export

Following cancellation or termination of a subscriber account, AccuWriter may retain the account's working Customer Content in a recoverable state for up to 90 days to permit recovery, export, account administration, or reactivation. After that period, working account content may be scheduled for deletion from active systems, subject to backup rotation, legal obligations, security requirements, and other legitimate retention needs.

Previously delivered inspection reports may remain available to the applicable inspection clients indefinitely as described in Section 6 unless an authorized inspector permanently deletes the report or retention is otherwise prohibited or impracticable. You are responsible for exporting records you are legally or professionally required to maintain.

16. Suspension and Termination

AccuWriter may suspend or terminate access for material breach, nonpayment, unlawful use, security risk, fraud, or conduct that creates material harm. Where reasonably practicable, AccuWriter will provide notice and an opportunity to cure, except where immediate action is necessary for security, legal, fraud-prevention, or similar reasons.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ACCUWRITER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AccuWriter does not warrant that templates, AI output, reference materials, calculations, integrations, or suggested language will be accurate, complete, legally compliant, suitable for a particular inspection, or free from error. You remain responsible for professional review and the final work product.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCUWRITER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCUWRITER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO ACCUWRITER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless AccuWriter and its affiliates, officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from your Customer Content, inspection services or reports, violation of law or professional obligations, misuse of the Services, or breach of these Terms.

20. Individual Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS. Except for claims eligible for small claims court and claims seeking appropriate injunctive relief concerning intellectual-property rights or unauthorized access to the Services, you and AccuWriter agree that disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration on an individual basis rather than in court.

YOU AND ACCUWRITER AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

The arbitration will be governed by the Federal Arbitration Act. Unless otherwise agreed, arbitration will be administered by the American Arbitration Association under the rules applicable to the dispute. If this arbitration provision is found inapplicable to a particular dispute, the governing-law and forum provisions below apply.

21. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. For disputes not subject to arbitration, and unless applicable law requires otherwise, the parties consent to the state and federal courts located in Los Angeles County, California.

22. Changes to Terms

AccuWriter may update these Terms to reflect changes in the Services, law, security practices, or business operations. Material changes will be communicated as required by law. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.

23. General Terms

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. These Terms, together with applicable order forms and incorporated policies, constitute the agreement concerning the Services and supersede prior agreements on the same subject.
